TERMS AND CONDITIONS AGREEMENT

1. INTRODUCTION
Welcome to Morningside Inn (“Morningside Inn,” “we,” “our,” or “us”), a family-owned and operated [LLC] based in Frederick, Maryland. By accessing, browsing, or booking services through our website (www.morningsideinn.com), contacting our team, or entering into a written or electronic agreement with us (collectively, the “Services”), you (“Client,” “you,” or “your”) agree to comply with and be bound by the following Terms and Conditions (“Agreement”). Please read them carefully before proceeding.
Morningside Inn provides all-inclusive wedding venue and event services, including exclusive estate rental, in-house catering, event coordination, and related offerings designed to deliver a seamless and stress-free wedding experience.
2. ACCEPTANCE OF TERMS
By using our Services, you confirm that you have read, understood, and agree to be legally bound by this Agreement. If you do not agree with any part, you may not use our Services.
3. SCOPE OF SERVICES
Morningside Inn provides:
- Exclusive use of the estate for booked wedding events
- Indoor and outdoor ceremony spaces
- Event coordination services from booking through your wedding day
- In-house catering and bar services
- Setup, cleanup, and vendor coordination
- Complimentary tasting events, rehearsal, and planning sessions
All services are subject to availability and governed by individual event agreements that outline specific inclusions, dates, pricing, and deposit terms.
4. BOOKINGS AND PAYMENTS
a. Reservation and Deposits: A date is considered reserved only upon receipt of a signed contract and deposit. Deposits are non-refundable unless otherwise specified in writing.
b. Payments: Payment terms, amounts, and due dates will be outlined in your event contract. Late payments may result in interest charges or cancellation of the event reservation. Credit and Debit card payments incur 3% processing fee.
c. Pricing: All prices are subject to change prior to contract signing. Once your event agreement is executed, prices are guaranteed except for state or local tax changes.
5. CANCELLATION AND REFUND POLICY
Client Cancellations: Cancellations made by the Client will be subject to the cancellation terms detailed in the event contract, which may include forfeiture of deposits or a percentage of total fees.
6. CLIENT RESPONSIBILITIES AND CONDUCT
Clients and their guests are expected to act responsibly and respectfully. Any behavior that causes property damage, disturbance, or violation of local laws may result in immediate removal from premises without refund as terms detailed in the event contract
The Client is responsible for the actions of all vendors, guests, and participants associated with their event.
7. USE OF PROPERTY AND EQUIPMENT
All decorations, rentals, and activities must comply with Morningside Inn’s safety and facility policies. No open flames, nails, or materials that cause damage to property are permitted. All personal items must be removed by the conclusion of the event unless otherwise arranged. As detailed in event contract.
8. INTELLECTUAL PROPERTY
All materials on the Morningside Inn website, including text, photos, designs, and branding, are the intellectual property of Morningside Inn and may not be copied, reproduced, or distributed without prior written permission. Promotional materials provided to clients for event marketing may be used for personal sharing but not commercial reproduction.
9. PRIVACY AND DATA PROTECTION
Morningside Inn respects your privacy and complies with applicable data protection laws, including GDPR and CCPA (where applicable). Personal information collected during the booking or inquiry process will be used only for communication, scheduling, billing, and event coordination purposes. We do not sell or share your data with third parties except as necessary to fulfill contractual obligations.
10. DISCLAIMERS AND LIMITATION OF LIABILITY
a. Disclaimer of Warranties: Morningside Inn provides its Services “as is” and “as available.” We make no warranty, express or implied, concerning uninterrupted or error-free operation, or specific outcomes related to event success or satisfaction.
b. Limitation of Liability: To the maximum extent permitted by law, Morningside Inn and its owners, employees, and representatives will not be liable for any indirect, incidental, or consequential damages, including but not limited to emotional distress, lost profits, or reputational harm, arising from or related to Services provided.
c. Property and Personal Belongings: Morningside Inn is not responsible for loss, damage, or theft of personal property during events.
11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Morningside Inn, its owners, employees, and agents from any claims, damages, liabilities, or expenses (including legal fees) arising from your event, engagement of vendors, or any breach of these Terms by you or your guests. As detailed in event contract.
12. TERMINATION OF SERVICES
Morningside Inn reserves the right to terminate or suspend services, with or without notice, if Client breaches any term of this Agreement, engages in unlawful conduct, or if the event poses safety concerns or reputational risk. No refunds will be issued in such circumstances. As detailed in event contract.
13. FORCE MAJEURE
Morningside Inn shall not be held liable for delays or failure to perform obligations due to causes beyond its reasonable control, including fires, floods, natural disasters, pandemics, wars, government actions, or similar unforeseen events. As detailed in event contract.
14. GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed under the laws of the State of Maryland, USA. Any disputes arising from this Agreement shall first be subject to good-faith negotiation between the parties. If unresolved, disputes shall be settled through binding arbitration in Frederick County, Maryland, in accordance with the rules of the American Arbitration Association.
15. SEVERABILITY
If any provision of this Agreement is found unenforceable by a court or arbitration panel, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.
16. AMENDMENTS
Morningside Inn reserves the right to modify or update these Terms and Conditions at any time without prior notice. Continued use of our Services after updates constitutes acceptance of the revised Terms.
17. ENTIRE AGREEMENT
This document, along with any signed event contract or addendum, constitutes the full and complete agreement between the parties. The signed event contract supersedes all negotiations, communications, or representations.
